7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BENCHMARK X SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for all claims arising out of or relating to the use of or any inability to use any portion of the Platform shall not exceed the amount you paid to us in the twelve (12) months prior to the event giving rise to the liability, or one hundred dollars ($100), whichever is greater.

You agree to defend, indemnify, and hold harmless BENCHMARK X and its officers, directors, employees, and agents from and against any claims, actions, suits, or proceedings, as well as any losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Platform, your violation of these Terms, or your violation of any rights of another.

9. Service Availability

We strive to provide continuous availability of the Platform, but we do not guarantee that the Platform will be available at all times. The Platform may be unavailable due to maintenance, updates, technical failures, or other reasons beyond our control. We are not liable for any losses resulting from Platform unavailability.

10. Termination

We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Platform will cease immediately. All provisions of these Terms that by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
